Course Objectives

Students who attend this course will learn what the characteristics and main issues affecting venture and development capital activity are. This industry is increasingly gaining relevance both in the field of firm financing and as an asset class in investment portfolios. In the first half of 2010 in Europe venture capital firms invested €15 billion in 807 companies and they raised €8.4 billion of new funds for investment purposes. The learning goals are as follows:

  • how the fundamental financial theories work in the venture capital industry;
  • venture capital as an asset class and its investor categories;
  • which are the target companies venture capitalists wish to invest in;
  • management of the investment process and way out.

Frequentando questo corso lo studente conoscerà in modo critico quali siano le caratteristiche di funzionamento e le problematiche del settore del venture capital, che ha acquisito e sta acquisendo un’importanza sempre più crescente nel panorama sia del finanziamento alle imprese sia degli investimenti finanziari (solo in Europa nel primo semestre 2010 15 mld. € investiti in 807 imprese e 8.4 mld. € di nuova raccolta disponibile per gli investimenti). Gli obiettivi conoscitivi sono:

  • l’applicazione dei concetti fondamentali della finanza al contesto del venture capital;
  • il venture capital come asset class finanziaria e le tipologie di investitori;
  • le caratteristiche delle imprese che sono finanziate dai venture capitalist;
  • la gestione dell’investimento (la selezione, la valutazione, il monitoraggio e l’uscita).

Course Content Summary
  • Venture and development capital: an industry overview.
  • Investor categories who place funds in venture capital industry (financial investor, corporate venture capital, government and local authorities, informal investors).
  • ow to regulate relationships between general and limited partners within investorsorganisation (incentives schemes, disclosure and accountability, how to share profits between parties).
  • How to invest: legal framework, strategies and vehicles.
  • What makes venture capital target firms special and when and why they are not able to raise capital in the debt market.
  • Solutions from venture capitalists to firm needs. Relationships between entrepreneur and investor.
  • Investment criteria and investment styles (round financing, milestones, venture debt).
  • Investment valuation: business plan, deal structuring, valuation criteria and expected IRRs.
  • Management of the way out: how and when to exit from the investment.
  • Il settore del venture capital e del capitale per lo sviluppo: caratteristiche settoriali e aspetti definitori
  • Le tipologie di soggetti che investono nel venture capital (investitori finanziari, corporate venture capital, fondi pubblici, investitori informali)
  • La gestione dei rapporti tra i soggetti coinvolti nella struttura dell’investitore (distribuzione degli incentivi, disclosure & accountability, ripartizione dei profitti tra le parti)
  • Gli schemi e le tipologie di veicoli dell’investimento.
  • In che cosa si distinguono le imprese che ricercano il venture capital e perché non riescono a trovare il capitale nel mercato del debito
  • Le risposte del venture capital alle imprese. La gestione del rapporto tra imprenditore/management dell’impresa e il venture capitalist.
  • I criteri di investimento e gli approcci seguiti (round financing, milestones, venture debt).
  • La valutazione dell’investimento: il business plan, il deal structuring, i criteri di valutazionee la stima degli IRR attesi.
  • La gestione della decisione di uscita: come e quando uscire dall’investimento.

Detailed Description of Assessment Methods

Two different methods: written exam and group assignment (optional).

  • Some working papers/case histories distributed on the course elearnig web site.

Prerequisites

It is suggested that students, although this is not obligatory, either have attended or are attending the basic courses in Financial System and Corporate Finance in order to fully exploit the value of the course.
