Obiettivi formativi del corso

Il corso ha carattere monografico. Il tema prescelto e' quello dell'esame degli obiettivi del diritto antitrust e del ruolo della concorrenza nella regolamentazione giuridica dei mercati. Attraverso l'esame della legislazione primaria e secondaria, della giurisprudenza e della prassi decisionale delle autorita', si intende esaminare, anche in prospettiva storica, quali siano gli obiettivi che informano il diritto della concorrenza. In particolare, e' oggetto di studio il ruolo che deve giocare l'efficienza nell'analisi delle fattispecie antitrust, nonché lo spazio che possono o debbono avere altri obiettivi di carattere economico e non economico (quali la stabilita', la sicurezza, il pluralismo) nell'ambito delle legislazioni antimonopolistiche. Accanto alla presentazione degli aspetti piu' significativi della disciplina, vengono esaminate e discusse in classe alcune tra le piu' rilevanti decisioni e sentenze nei campi del diritto antitrust.

  • La concorrenza come motore dell'efficienza.
  • Le origini e lo sviluppo del diritto antitrust negli Stati Uniti, in Europa, in Italia.
  • Gli obiettivi ed il modo di agire delle autorita' antitrust.
  • I cartelli, la deterrenza, e le politiche di clemenza.
  • Le intese verticali, l'approccio della Scuola di Chicago e quello Post-Chicagoan.
  • Monopolizzazione dei mercati e condotte abusive.
  • Il controllo delle operazioni di concentrazione.
  • Disciplina antitrust ed obiettivi settoriali. Il rapporto tra antitrust e regulated industries.
  • La promozione della concorrenza e le normative restrittive della concorrenza.

L'esame è scritto e consiste nell'analisi di alcuni degli aspetti analizzati in classe. Non sono previste prove intermedie.

Course Objectives

The course provides an introduction to the doctrines, public policies and economics theories that inform the antitrust laws and the role of economic and non-economic goals of the antitrust laws. Through an in-depth examination of antitrust regulations and case law, the course aims at evaluating which goals prevailed over time and which role economics played in the enforcement of the antitrust laws. Substantial time is devoted to the relationship between competition and other policy goals (i.e. prudential rules, public security, plurality of the media, and other "legitimate interests") in the field of regulated industries. Students are required to participate in class presentations and discussions of some leading cases in the field of antitrust.

  • Origins and development of the antitrust laws in the United States, in the EU and in Italy.
  • The antitrust economic and non-economic goals. The enforcement.
  • The optimal enforcement of antitrust laws. Deterrence and leniency policies in the field of cartels.
  • Vertical agreements and the free ride rationale between Chicago and Post-Chicago.
  • Abuses of dominant position and exclusionary practices.
  • The appraisal of mergers between undertakings.
  • Antitrust and Regulated industries.
  • Promotion of competition and anti-competitive regulations.

Detailed Description of Assessment Methods

The exam is written and will consist of an analysis of some of the topics covered in-class. No partial exams are scheduled.
