Mission e Programma sintetico
MISSION

Il corso analizza gli approcci adottati nella financial community internazionale da analisti finanziari, investment e merchant banks e grandi società di consulenza ai fini della valutazione di imprese, acquisizioni, IPO, business combinations e si pone l'obiettivo di sviluppare una sensibilità a tali aspetti fondata su un chiaro modello teorico.

PROGRAMMA SINTETICO
  • Assumptions e scenari per la costruzione di business plan. Il problema dell'incertezza nella valutazione di iniziative nuove o collocate in mercati in rapida crescita. L'organizzazione dell'analisi per business units.
  • La proiezione dei flussi di cassa. La definizione del profilo dei flussi nel lungo termine. Esempi tipici di profili dei flussi in alcuni settori.
  • Valutazione del capitale operativo o dell'equity. Approcci e metodi.
  • Procedimenti per la stima del costo-opportunità del capitale nelle valutazioni aziendali. Il trattamento dei rischi specifici.
  • Discounted Cash Flow (DCF): tipiche modalità di applicazione nella financial community.
  • L'approccio Adjusted Present Value (APV) e l'analisi del profilo del debito ai fini della valorizzazione degli scudi fiscali.
  • Problemi teorici e applicativi dell'uso dei multipli (stock market e deal multiples).
  • Come funziona il mercato del controllo: valori di acquisizione e Fair Market Values.
  • Premi e sconti nelle valutazioni aziendali.

  • Impostare l'analisi di piani industriali.
  • Individuare le condizioni di incertezza che caratterizzano le proiezioni.
  • Sviluppare adeguatamente un modello di flussi di cassa per la valutazione.
  • Individuare le  cosiddette comparable companies e calcolare ed analizzare criticamente i rispettivi multipli di borsa.

DETTAGLI

La didattica del corso si basa principalmente su lezioni frontali. E' previsto quindi solo un limitato numero di testimonianze in aula con l'obbiettivo di far acquisire la conoscenza delle modalità di strutturare gli interventi di vautazione in differenti ambiti professionali (grandi banche di affari, direzione finanziaria di grandi gruppi etc).

  • I lavori di gruppo hanno la finalità di far prendere confidenza con le principali banche dati utilizzate per scopi di valutazione e con le necessarie interazioni tra competenze di business e competenze finanziarie.

    L'esame consiste in una prova finale scritta costituita da esercizi numerici, applicazioni di algoritmi valutativi e in quesiti di carattere teorico metodologico.

    Mission & Content Summary
    MISSION

    The course aims at providing students with: - The conceptual and theoretical framework surrounding valuation issues. - The practical tools to address such topics in real-life situations. The main methodologies of corporate valuation are analyzed and the approaches commonly used by practitioners (financial analysts, investment and merchant banks, consulting firms) are critically discussed. Examples focus on corporate valuation issues using DCF, stock market and deal multiples completed by industry-specific as well as case-specific valuation techniques.

    CONTENT SUMMARY
    • Theoretical framework. Assumptions and scenarios in the business plan development. Uncertainty and company valuation. Relationship between uncertainty and value in innovative projects and high growth companies. Overall profile or profiles related to specific business units.
    • Business plan and cash flow projections. Developing forecast assumptions. From business models to cash flow models. Problems with the assessment of cash flow models. Typical cash flow patterns in some industries.
    • Approaches and methods for business valuation. Relationships between leverage and value. Alternative valuation techniques. The choice between the asset-side vs. the equity-side standpoint.
    • Estimating the opportunity cost of capital. Dealing with specific risk.
    • Discounted Cash Flow. Typical procedures in the financial community.
    • The Adjusted Present Value approach (APV). Debt profile analysis in valuing tax shields. Different alternatives.
    • Stock market and deal multiples. Theoretical framework and practical issues.
    • Value and prices in the market for corporate control. Acquisition values and fair market values.
    • Premia and discounts in company valuation.
    • Valuation of right issues.
    • Valuation of environmental risks.

    ATTENDING AND NOT ATTENDING STUDENTS

    The assessment is the result of a final written exam and a group homework score:

    • Final written exam: from 0 to 26 out of 30.
    • Group homework: from 0 to 5/30 (groups’ valuation is based on the quality of the output, the quality of presentation, class participation and discussion).

    Note that the final exam may contain questions related to the homework.

    The homework score is valid for all the 2019-2020 exam sessions until February 2020.

    • The course is passed if and only if:
      • The mark of the final written exam is equal or greater to 15.
      • The final grade (group homework + final written exam) is equal or greater to 18.
    • A final mark of “30 cum laude” wis assigned to students who reach a final grade equal to 31.
    • Once a student has passed the course, the grade is registered and she/he cannot re-sit the exam.
