Mission e Programma sintetico
MISSION

Nel quadro del principio di libertà di iniziativa economica e dello sviluppo di un’economia di mercato, il nostro ordinamento prevede un complesso di norme che regolano l’attività d’impresa ed i rapporti tra i soggetti presenti sul mercato. Il corso ha come obiettivo fondamentale l’analisi delle norme che disciplinano l’attività di impresa approfondendo, da un lato, la disciplina generale (nozione di impresa, azienda, segni distintivi, concorrenza) e il più diffuso modello organizzativo dell'impresa (società) e, dall'altro, gli strumenti che consentono alle imprese di valorizzare i loro risultati creativi ed innovativi (marchi, brevetti, diritto d’autore). Il corso intende, in quest’ottica, evidenziare le principali problematiche giuridiche che si presentano nello svolgimento di un’attività di impresa alla luce della disciplina vigente, mediante l’analisi delle norme e di casi.

DETTAGLI

Il corso prevede l’analisi in classe di casi e sentenze, con l’obiettivo di evidenziare il modo in cui concretamente le norme vengono applicate nella risoluzione di problematiche giuridiche relative all’attività dell’impresa.

    L’esame finale (sia per studenti frequentanti che non frequentanti) consiste in tre domande a risposta aperta, due teoriche e una di scenario. Le domande teoriche mirano a valutare la comprensione e la conoscenza dei problemi giuridici affrontati nel corso. La domanda di scenario, presentando un caso ipotetico, mira a valutare la capacità di applicare i concetti teorici per l’individuazione e risoluzione di problematiche concrete.

    Mission & Content Summary
    MISSION

    The course purports to analyze, from an international perspective, selected legal issues that enterprises face in managing their business activity and the related creative and innovative results. Topics include the formation and governance of enterprises, their relationship with third parties (e.g. competitors, consumers) and the tools allowing enterprises to protect and exploit their intellectual property (in particular trademarks, designs and copyright). Through the analysis of the legislation and case law, the course aims at providing students with an effective overview and a practical understanding of fundamental legal aspects of the life of enterprises.

    DETAILS

    The course includes, in addition to face-to-face lectures, case discussions and interactions with guest speakers from law firms, institutions and/or companies dealing with commercial and intellectual property law issues. Case law are examined and discussed in class with the purpose of improving students’ understanding of the practical implications of the legal rules explained during the course. Students are encouraged to share their own views and comments on the various topics presented and discussed during the course.

    ATTENDING AND NOT ATTENDING STUDENTS

    The final exam (for both attending and non-attending students) is based on a closed book, written test, consisting of three open questions. Two questions aim to assess the knowledge and understanding of the legal issues analysed during the course from a theoretical point of view. The other is aimed at assessing the students’ ability of solving a hypothetical practical case.
