Obiettivi formativi del corso
Il corso si propone di sviluppare nei partecipanti la capacità di comprendere e realizzare i processi relativi alla corporate strategy e in particolare:
  • riconoscere le decisioni di corporate strategy;
  • valutare i diversi modelli di corporate strategy;
  • utilizzare alcuni strumenti di analisi e diagnosi applicabili ai problemi di corporate strategy;
  • riconoscere le varie modalità di crescita imparando a valutarne i vantaggi e gli svantaggi: sviluppo del business, integrazione verticale, internazionalizzazione, diversificazione;
  • valutare il ruolo delle diverse modalità di crescita: build, borrow and buy;
  • distinguere il ruolo del corporate headquarter da quello delle altre unità organizzative di una grande impresa;
  • valutare le scelte di definizione della macro struttura organizzativa;
  • riconoscere le relazioni tra scelte di corporate strategy e i mercati finanziari;
  • comprendere le relazioni dinamiche tra strategia, proprietà delle aziende e governance;
  • valutare le azioni più opportune per realizzare processi di trasformazione aziendale.
Il corso si avvale della discussione di numerosi casi di gruppi italiani e stranieri finalizzata a trasmettere le conoscenze specialistiche oggetto dei vari moduli, nonché a sviluppare le abilità e gli atteggiamenti personali di ascolto e di apprendimento innovativo. Coloro che si impegnano nei lavori di gruppo hanno anche modo di misurare le proprie capacità di gestione delle tensioni, di iniziativa e di leadership.

Descrizione dettagliata delle modalità d'esame
Per i non frequentanti:
Per gli studenti non frequentanti la valutazione è basata su: esame in forma scritta (87%); lavoro individuale (13%).
Agli studenti non frequentanti è richiesto di presentare un lavoro individuale composto da un documento Word (massimo 8 pagine, Times New Roman 12, spaziatura singola, margini 2.5 cm) volto ad analizzare il caso di un’impresa multibusiness. Il contenuto della presentazione deve essere discusso per tempo con il docente del corso. Il lavoro individuale deve essere consegnato al più tardi una settimana prima della data in cui si intende sostenere l'esame finale. L'esame finale prevede due domande aggiuntive rispetto agli studenti frequentanti relative al libro A. Campbell, J. Whitehead, M. Alexander,et all , Strategy for the Corporate Level, Jossey-Bass, San Francisco, 2014.

Per i frequentanti:
Per gli studenti frequentanti la valutazione finale è definita considerando un totale di 31 punti così suddivisi: esame in forma scritta (max 18 punti); lavori di gruppo (max 8 punti); lavori individuali (max 3 punti); partecipazione attiva (max 2 punti).
L'esame scritto è costituito da 2 domande aperte relative a un caso aziendale consegnato all'inizio della prova scritta, e da 2 domande teoriche relative ad argomenti presentati nel corso.

Course Objectives

The purpose of this course is to develop students' ability to recognize the elements of a corporate strategy and to define successful growth strategies.

Specifically, at the end of the course participants are able to:

  • recognize the key decisions of a firm's corporate strategy;
  • evaluate the various models of corporate strategy ;
  • apply the relevant tools for the analysis of a firm’s corporate strategy;
  • recognize the different kinds of growth strategy and their pros and cons: development of the core business, vertical integration, internationalization, diversification;
  • evaluate the different models of growth: build, borrow and buy;
  • distinguish the role of the corporate headquarters and the role of other organizational units of a medium-large company;
  • evaluate the choices of organizational structure;
  • understand the relations between the choices of corporate strategy and the financial markets;
  • understand the dynamic relationship between strategy, ownership structure, and corporate governance;
  • understand the key drivers of corporate renewal.

The course makes use of interactive teaching methods, aimed at transferring highly specialized knowledge related to the individual topics, and to develop attitudes and abilities to listening, strategic thinking, group-working, participation and leadership.

Detailed Description of Assessment Methods
For Non attending students:
For students not attending classes, the assessment is based on: written examination (67%); individual work (33%).
Non attending students are required to submit an individual work consisting of a Word document (maximum 12 pages, Times New Roman 12, single line spacing, margins 2.5 cm) designed to analyze the case of a multi-business firm. The content of the presentation must be discussed in advance with the teacher of the course. Individual work must be delivered no later than one week before the date on which students plan to take the final exam. The final written exam is the same as for attending students (see below).

For Attending students:
For attending students the final evaluation is defined considering a total of 33 points as follows:
  • exam in written form (max 20 points);
  • group work: presentation of business cases (max 10 points).
The written exam consists of open-ended questions related to one or more business cases, delivered at the beginning of the written test, and theoretical questions related to course topics.
